ConSoul Terms of Service (User Agreement)
Effective Date: January 2026
Welcome to ConSoul. These Terms of Service (“Terms” or “Agreement”) govern your access to and use of the ConSoul website, mobile applications, and related services (collectively, the “Services”).
By accessing or using the Services, you agree to be bound by these Terms and our Privacy Policy. If you do not agree, you must not use the Services.
1. Eligibility & Account Registration
You must be at least 18 years old to use the Services.
To access certain features, you may be required to create an account. You agree to:
Provide accurate, current, and complete information
Keep your account information up to date
Safeguard your login credentials
You are responsible for all activity that occurs under your account.
2. Authority to Act on Behalf of Others
If you use the Services on behalf of another individual (such as a care recipient), you represent and warrant that you have the legal authority and appropriate consent to do so and to share information related to their care.
ConSoul relies on this representation and is not responsible for disputes regarding authority, consent, or family disagreements.
3. License to Use the Services
ConSoul grants you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal or internal organizational purposes, subject to these Terms.
You may not:
Use the Services for unlawful purposes
Copy, modify, or reverse engineer the Services
Sell, sublicense, or commercially exploit the Services without written permission
All rights not expressly granted are reserved by ConSoul.
4. Intellectual Property Ownership
The Services, including all software, workflows, AI systems, designs, text, graphics, trademarks, logos, and underlying technology, are owned by ConSoul Inc. or its licensors and are protected by intellectual property laws.
Nothing in these Terms transfers ownership of ConSoul’s intellectual property to you.
5. User Content & License to Operate the Service
You retain ownership of the content you submit to the Services, including notes, documents, messages, and uploaded materials (“User Content”).
By submitting User Content, you grant ConSoul a limited, non-exclusive, royalty-free license to host, store, process, analyze, and display such content solely for the purpose of operating, improving, and securing the Services, including AI-assisted features.
This license does not allow ConSoul to sell your User Content or use it for advertising.
6. Feedback
If you provide suggestions, feedback, or ideas about the Services, you agree that ConSoul may use them without restriction or compensation, and that no ownership or confidentiality obligation is created.
7. Acceptable Use & User Responsibilities
You agree to:
Comply with all applicable laws and regulations
Use the Services in a respectful and lawful manner
Not upload illegal, abusive, or harmful content
Not misuse AI features or attempt to exploit system behavior
Not interfere with the security or availability of the Services
ConSoul may restrict or suspend access for misuse.
8. AI-Powered Features & Limitations
The Services include AI-powered tools designed to support care coordination, navigation, organization, and information synthesis.
You acknowledge and agree that:
AI-generated content is informational and organizational only
AI does not provide medical, clinical, legal, or financial advice
AI outputs do not replace professional judgment or care
You are solely responsible for decisions and actions taken based on AI-generated information
ConSoul does not guarantee the accuracy or completeness of AI-generated content.
9. Emergency & Crisis Disclaimer
The Services are not designed for emergency use.
If you are experiencing a medical, mental health, or safety emergency, contact local emergency services immediately. ConSoul does not provide emergency response or crisis intervention.
10. Third-Party Services & Vendors
The Services may help you identify or coordinate third-party services (such as home care providers, transportation, or meal delivery).
These services are provided by independent third parties. ConSoul:
Does not control third-party providers
Does not guarantee service quality or outcomes
Is not responsible for acts, omissions, or disputes involving third-party services
Your engagement with third-party providers is solely between you and the provider.
11. Subscriptions, Trials & Payments
Some features require a paid subscription. Pricing and billing terms are disclosed at purchase.
Payments are processed through third-party payment platforms (such as Apple App Store or Google Play), and are subject to their terms. ConSoul does not control third-party billing practices.
12. Privacy & Data Protection
Your use of the Services is subject to our Privacy Policy, which explains how we collect, use, and protect your information.
13. Service Availability & Modifications
ConSoul may modify, suspend, or discontinue the Services or any feature at any time.
ConSoul is not liable for interruptions, changes, or discontinuation of the Services.
14. Termination
ConSoul may suspend or terminate your access if you violate these Terms or misuse the Services.
Upon termination, your right to use the Services will immediately cease.
15. Disclaimers
The Services are provided “as is” and “as available.”
To the fullest extent permitted by law, ConSoul disclaims all warranties, express or implied, including warranties of accuracy, reliability, merchantability, fitness for a particular purpose, and non-infringement.
16. Limitation of Liability
To the maximum extent permitted by law, ConSoul shall not be liable for:
Indirect, incidental, consequential, or punitive damages
Loss of data, revenue, or business
Emotional distress or caregiving outcomes
Decisions made based on Services or AI outputs
Third-party services or content
Your sole remedy is to discontinue use of the Services.
17. Indemnification
You agree to indemnify and hold harmless ConSoul, its affiliates, officers, directors, employees, and agents from claims arising from:
Your use of the Services
User Content you provide
Violation of these Terms
Violation of applicable laws or third-party rights
18. Force Majeure
ConSoul is not liable for failure or delay caused by events beyond reasonable control, including natural disasters, power failures, internet outages, labor disputes, or actions of third-party service providers.
19. Assignment
You may not assign these Terms without ConSoul’s consent.
ConSoul may assign these Terms as part of a merger, acquisition, corporate restructuring, or sale of assets.
20. Export & Sanctions Compliance
You agree not to use the Services in violation of applicable export control or sanctions laws.
21. App Store Terms
This Agreement is between you and ConSoul, not Apple or Google.
If downloaded via the Apple App Store, Apple has no responsibility for the Services and no obligation to provide support.
If downloaded via Google Play, Google has no responsibility for the Services.
22. Governing Law & Jurisdiction
These Terms are governed by the laws of the Province of Ontario and applicable federal laws of Canada.
Any legal action shall be brought exclusively in the courts located in Ontario, Canada.
23. Changes to These Terms
ConSoul may update these Terms from time to time. Continued use after changes constitutes acceptance.
